End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and ScriZen, meaning the operator of the applicable ScriZen website, application, checkout flow, authorized reseller, merchant of record, marketplace, or other sales channel identified in the applicable order page, invoice, receipt, store listing, or legal notice (“ScriZen”, “we”, “us”, or “our”). This EULA governs your access to and use of software applications, installers, updates, documentation, integrated features, and related software components made available under the ScriZen brand (collectively, the “Product” or “Products”).

By downloading, installing, activating, accessing, or using a Product, you agree to this EULA. If you are accepting this EULA on behalf of an organization, you represent that you have authority to bind that organization, and in that case “you” includes that organization.

1. Scope and Relationship to Other Terms

This EULA applies across the ScriZen brand and covers current and future ScriZen software products unless a specific product-specific term, order page, store listing, or separate written agreement expressly provides additional terms for a particular Product.

Product-specific commercial details, including price, plan limits, supported features, billing cadence, renewal terms, and included services, may be stated at the time of purchase, activation, installation, or use. Those commercial details supplement this EULA. If a mandatory sales-channel rule or applicable law requires a different result for billing, refunds, store rights, or consumer remedies, that requirement controls for those issues.

2. License Grant

Subject to your compliance with this EULA and payment of applicable fees, ScriZen grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use the applicable Product during the valid license term for your internal business use or personal professional use.

The Product is licensed, not sold. No ownership right, title, or intellectual property right in the Product is transferred to you except for the limited license expressly granted under this EULA.

3. License Types, Term, and Plan Limits

Subscription or term-based licenses remain active for the purchased term and may renew on a recurring basis if that option is presented at checkout or under the applicable sales-channel terms, unless cancelled in accordance with the disclosed cancellation method.

Perpetual, founders, lifetime, or similarly named offers, if made available, grant the scope of use expressly stated at the time of purchase for the covered Product version, edition, or entitlement. Unless expressly stated at the time of purchase, such offers do not guarantee every future feature, hosted service, cloud dependency, major version, platform adaptation, or separately priced product line.

User, seat, device, or activation limits are defined by the applicable plan, order page, receipt, or product documentation. Unless otherwise stated, a single-user license is intended for one natural person and one device at a time, and concurrent use beyond the purchased scope is not permitted.

You may deactivate the Product on one device and reactivate it on another device as long as your use remains within the permitted license scope.

4. Activation, Validation, and Connectivity

Some Products require initial online activation and periodic license validation to confirm entitlement status, prevent abuse, protect license integrity, or enable online functionality.

For Products that use validation technology, checks may occur when the Product is opened and periodically in the background while in use, including approximately every 24 hours for some Products.

Where supported by the applicable Product, a short grace period may apply when validation cannot be completed because of temporary connectivity issues. A grace period, when available, is intended only to reduce disruption from temporary outages and does not create a permanent offline entitlement.

If a Product cannot validate for an extended period, some licensed or online-dependent functionality may be reduced, suspended, or unavailable until validation is successfully completed.

ScriZen is not responsible for outages or degraded functionality caused by internet connectivity failures, hosting failures, platform failures, or third-party service interruptions outside our reasonable control.

5. Updates, Maintenance, Support, and Documentation

During an active license term, or where expressly included in a purchased entitlement, ScriZen may provide updates, bug fixes, patches, compatibility adjustments, security improvements, or maintenance releases.

Nothing in this EULA requires ScriZen to provide every future feature, enhancement, platform version, integration, or roadmap item unless expressly included in the purchased offering.

Support may be provided through documentation, knowledge-base materials, AI-assisted help, ticket systems, email, or other channels published by ScriZen. Support is provided according to reasonable business practices and does not create a separate consulting, managed-services, uptime, or response-time commitment unless expressly stated in a separate agreement.

6. Fees, Billing, Renewals, Trials, Cancellations, and Refunds

Payments may be processed directly by ScriZen or through an authorized reseller, merchant of record, app store, marketplace, or payment service provider used for the relevant purchase.

If a Product is offered on a recurring subscription basis, the applicable billing cycle, renewal frequency, price, taxes, and cancellation method will be disclosed at the time of purchase, checkout, account management flow, invoice, renewal notice, or applicable store listing, as required by law or channel rules.

If a free trial, introductory offer, or promotional access period is offered, the duration, conversion terms, and any charges that may apply after the trial will be disclosed at the time of sign-up or checkout.

Refunds, cancellations, charge handling, and payment disputes are governed by the applicable refund policy, mandatory law, and, where relevant, the rules of the sales channel used for the purchase. Where a third-party sales channel is used, that channel may control payment collection, cancellation workflows, and refund handling for the corresponding transaction.

ScriZen may suspend, revoke, or limit access to the Product if a payment is reversed, charged back, refunded for the relevant entitlement, obtained through unauthorized means, or not successfully completed.

7. Acceptable Use and Restrictions

You may not, except to the extent applicable law expressly prevents a restriction of this kind:

  • copy, reproduce, resell, sublicense, rent, lease, distribute, lend, timeshare, or otherwise make the Product available to third parties except as expressly permitted by the purchased license scope;
  • remove, alter, conceal, or bypass license controls, activation logic, usage limits, access controls, or technical protection measures;
  • reverse engineer, decompile, disassemble, attempt to derive source code, or otherwise analyze the Product for the purpose of creating a competing product or service, except to the limited extent such activity cannot lawfully be restricted;
  • use the Product in a way that exceeds your purchased plan limits or authorized scope;
  • use the Product for unlawful, abusive, deceptive, fraudulent, infringing, or security-violating purposes;
  • use automated means to interfere with our systems, evade usage controls, or scrape protected areas of our services except as expressly authorized by ScriZen.

8. Third-Party Services, Platforms, and Sales Channels

The Product may interoperate with third-party platforms, operating systems, APIs, payment providers, app stores, analytics tools, AI providers, or hosting services. Those third-party services may be subject to separate terms, policies, or technical limitations.

If you obtain a Product through a third-party store, marketplace, reseller, or merchant of record, the mandatory terms of that purchase channel relating to billing, refunds, store rights, or platform-specific conditions apply in addition to this EULA to the extent required by law or platform rules.

ScriZen is not responsible for third-party services, content, policies, outages, pricing decisions, or changes unless applicable law requires otherwise.

9. Intellectual Property and Feedback

ScriZen and its licensors retain all ownership, title, and intellectual property rights in and to the Products, documentation, branding, interface elements, and related materials.

If you provide suggestions, feedback, feature requests, or improvement ideas regarding a Product, you grant ScriZen a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, and commercialize that feedback without restriction and without any obligation to you.

10. Privacy, Data, and Product Telemetry

Your use of the Product may involve the processing of account, licensing, diagnostic, support, billing, or usage information as described in the applicable Privacy Policy and related notices published by ScriZen.

Where a Product operates locally on your device, ScriZen does not obtain rights to your files or content merely because the Product processes them locally. If you submit files, logs, screenshots, or other materials to ScriZen for support, troubleshooting, or AI-assisted support features, you confirm that you have the rights needed to provide those materials for that purpose.

11. Consumer Rights and Mandatory Law

Nothing in this EULA excludes, restricts, or limits any right or remedy that cannot lawfully be excluded, restricted, or limited under applicable law.

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protections, your statutory rights remain in addition to the rights granted under this EULA.

Where applicable law provides remedies for digital content or digital services that are not supplied in conformity with the contract, those remedies may include bringing the Product into conformity, repair, replacement, repeat performance, price reduction, refund, termination, or other relief required by law.

Any disclaimer, exclusion, limitation, or suspension right in this EULA applies only to the maximum extent permitted by applicable law.

12. Disclaimer of Warranties

Except for rights that cannot be excluded under applicable law and any express commitments specifically stated by ScriZen or the applicable sales channel, the Product is provided “as is” and “as available.”

To the maximum extent permitted by applicable law, ScriZen disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and uninterrupted or error-free operation.

ScriZen does not warrant that the Product will meet every requirement, operate without interruption, be compatible with every platform or third-party service, or be free from every defect.

13. Limitation of Liability

Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct where such limitation is prohibited, or any other liability that cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, ScriZen will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill, loss of anticipated savings, loss of data, or business interruption arising out of or relating to the Product or this EULA.

To the maximum extent permitted by applicable law, ScriZen’s total aggregate liability arising out of or relating to the Product or this EULA will not exceed the greater of (a) the amount actually paid by you for the specific Product or entitlement directly giving rise to the claim during the 12 months preceding the event giving rise to the claim, or (b) the minimum amount, if any, required by applicable law.

The limitations in this section apply regardless of the form of action and even if a limited remedy fails of its essential purpose.

14. Suspension and Termination

ScriZen may suspend or terminate your license or access to the Product if you materially breach this EULA, exceed the purchased scope, use the Product unlawfully or fraudulently, interfere with licensing controls, or obtain the relevant entitlement through unauthorized means.

You may stop using the Product at any time. If you cancel a subscription, access continues until the end of the paid period unless applicable law, the applicable refund process, or the purchase channel provides otherwise.

Upon termination or expiration of your license, you must stop using the affected Product and, where applicable, uninstall, deactivate, or delete the corresponding copies in your possession or control, except to the extent continued possession is required by law or necessary for archival records.

Sections that by their nature should survive termination – including sections concerning intellectual property, fees already due, restrictions, disclaimers, limitation of liability, governing law, disputes, and miscellaneous terms – will survive.

15. Export, Sanctions, and Compliance

You will comply with applicable export control, trade sanctions, anti-corruption, and import laws relating to the Product. You may not use, export, re-export, transfer, or provide the Product in violation of those laws.

16. Governing Law and Disputes

To the maximum extent permitted by applicable law, this EULA and any non-contractual disputes or claims arising out of or in connection with it are governed by the law applicable in the place where the contracting seller identified in the applicable order page, receipt, invoice, store listing, or legal notice is established, excluding conflict-of-law rules.

If you are a consumer, nothing in this EULA deprives you of any mandatory protections or forum rights available under the law of your country of habitual residence.

Before filing a formal claim, both parties agree to make a reasonable effort to resolve the dispute informally by contacting the support or sales channels listed below.

Unless applicable law requires otherwise, formal proceedings may be brought in the courts that have jurisdiction over the place where the contracting seller is established. If mandatory consumer law gives you the right to bring a claim in another court, including the courts of your habitual residence, that right is preserved.

17. Changes to This EULA

ScriZen may update this EULA from time to time to reflect legal, technical, operational, security, or product changes. The current version will be made available through the applicable Product, website, or legal page.

Material changes will apply prospectively from the effective date of the updated version, except where a change must apply immediately for legal, security, fraud-prevention, or abuse-prevention reasons.

18. Miscellaneous

If any provision of this EULA is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law, and the unenforceable provision will be enforced to the maximum extent permissible or, if necessary, deemed modified so that it most closely reflects the original intent in a lawful manner.

ScriZen’s failure to enforce a provision is not a waiver of that provision or any other provision.

This EULA, together with the applicable order page, store listing, plan description, refund policy, privacy policy, and any product-specific terms expressly incorporated by reference, constitutes the entire agreement between you and ScriZen regarding the Product, except where a separate written agreement signed by an authorized representative of ScriZen applies.
